Valoración de empresas.

Actualmente la valoración de empresas es un servicio muy apetecido en todo el
mundo, ya que a partir de este se puede iniciar un proceso de venta de una compañía
tanto total como parcialmente, con el fin de crear una fusión o adquisición entre
empresas, la recompra de acciones o participaciones de los socios de la compañía así
como el posible ingreso de nuevo socio, entre otras razones que varían de acuerdo al
sector o tipo de compañía que esté interesada en solicitar en este servicio. De esta
manera, es claro que el ejercicio de valoración de empresas debe entenderse como
un servicio básico a la hora de iniciar una negociación y un instrumento necesario al
momento de tomar decisiones de una compañía teniendo él cuenta el valor de la
empresa según su mercado.
A pesar de que existen diferentes métodos en los que se puede valorar la empresa,
todos buscan determinar el valor económico de la empresa en un momento especifico
de la vida de la compañía y con base a sus cifras financieras, planes de negocio,
expectativas de crecimiento y otros supuestos generadores de valor.

Algunos de esos métodos pueden basarse en el valor contable como flujo de caja                                                               descontado y venture capital, o basados en el mercado por múltiplos.

Flujo de caja descontado: Es uno de los métodos más comunes este método
determina el valor de la empresa a través de la estimación de los flujos de
dinero en el tiempo, es decir, proyectándoles a varios años según el
crecimiento que se espera y con el fin de descontarlos con una tasa de
descuento apropiada, el WACC.

Múltiplos: Es otro método de valoración muy común el cual consiste en valorar
una empresa según su valor de mercado por medio de la comparación con
otras empresas que sean comparables y que coticen en bolsa, los múltiplos
más convencionales son EBITDA o Ingresos.

Venture Capital: Es un método que se basa en estimar la valoración presente
con base a las expectativas de retorno que tenga un inversor de cara a un exit
o un evento de liquidez futuro.

Con el fin de hallar el valor más cercano a la realidad, realizando los tres métodos de
valoración se puede hacer un análisis tornado que te de un rango más acertado a lo
que es la empresa.
